Terms of Service Agreement for Shoadire.com

This Terms of Service Agreement ("Agreement") is a binding agreement between Emerald Consciousness Inc DBA Shoadire.com ("Shoadire.com," "we," "us," or "our") and you ("you" or the "User"). This Agreement governs your access to and use of the Shoadire.com website (the "Website") and the wellness services offered by Shoadire.com (the "Services").

1. Acceptance of Terms

By accessing or using the Website or Services, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to all of the terms and conditions of this Agreement, you are not authorized to access or use the Website or Services. Your access to and use of the Website and Services is also conditioned upon your acceptance and compliance with the Shoadire.com Privacy Policy, which is incorporated herein by reference.

2. Description of Services

Shoadire.com offers a variety of wellness services, which may include but are not limited to:

  • Wellness Services (e.g., mentoring, guided meditations, self development, spiritual education)

Additional Disclaimer: Esoteric wellness practices are considered complementary and alternative (CAM) therapies that are not a substitute for medical treatment. Practitioners do not diagnose or treat medical conditions. If you have a medical condition, please consult with a licensed medical professional.

3. User Eligibility

You must be at least 18 years old or have the legal consent of your parent or guardian to use the Website and Services.

4. User Responsibilities

By using the Website and Services, you agree to:

  • Provide accurate and complete information when registering for an account or scheduling an appointment.

  • Be respectful of Shoadire.com representatives and other Users.

  • Use the Website and Services for their intended purposes only.

  • Not violate any applicable laws or regulations.

  • Not infringe on the intellectual property rights of Shoadire.com or any third party.

5. Confidentiality

All information shared with the practitioner during a session is confidential and will not be shared with any third parties without the client's consent.

6. Cancellation Policy

Sessions must be cancelled at least 24 hours in advance of the scheduled time. If a session is cancelled with less than 24 hours notice, the full fee will be charged.

7. Payment

Payment is due at the time of the session. Payment can be made by credit card via Stripe.

8. Refusal of Treatment

The practitioner has the right to refuse treatment to anyone who is under the influence of alcohol or drugs, or who is behaving in an inappropriate or disruptive manner.

9. Limitation of Liability

The practitioner is not liable for any injuries or damages that may occur during a session.

10. Disclaimer of Warranties

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SHODIRE.COM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY. SHODIRE.COM DOES NOT WARRANT THAT THE WEBSITE OR SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THEY WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SHODIRE.COM DOES NOT WARRANT THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE WEBSITE OR SERVICES WILL BE ACCURATE OR RELIABLE.

11. Indemnification

You agree to indemnify, defend, and hold harmless Shoadire.com, its officers, directors, employees, agents, and licensors from and against any and all claims, losses, expenses, liabilities, damages, and costs, including reasonable attorneys' fees, arising out of or in connection with your use of the Website or Services, or your violation of the terms of this Agreement.

12. Intellectual Property

The Website and Services contain intellectual property belonging to Shoadire.com, including but not limited to trademarks, copyrights, and trade secrets. You agree not to reproduce, modify, distribute, or commercially exploit any of the intellectual property of Shoadire.com without its prior written consent.

13. Termination

Shoadire.com may terminate your access to the Website and Services at any time, for any reason, or no reason at all, without notice. You may also terminate your access to the Website and Services at any time.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States of America.

15. Dispute Resolution

Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association ("AAA"). The arbitration shall be held in Queens, NY United States of America. The decision of the arbitrator shall be final and binding on the parties.

16. Entire Agreement

This Agreement constitutes the entire agreement between you and Shoadire.com concerning the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

17. Changes to Terms and Conditions

Shoadire.com reserves the right to change these terms and conditions at any time. The updated terms and conditions will be posted on the Website and will be effective immediately upon posting. You are advised to periodically review the terms and conditions for any changes. Your continued use of the Website and Services following the posting of changes constitutes your acceptance of the changes.

18. By Purchasing Goods or Services

By purchasing goods or services from Shoadire.com, you are agreeing to these terms and conditions and you are acknowledging that you have read and understand them, and that you agree to be bound by them.
